Articles of Association

 

§ 1 Name, location, year

 

  1. The association bears the name " Sri Lankan Buddhist Cultural Society ". According to its entry in the register, it shall bear the suffix "e.V." .

  2. The association is headquartered in Düsseldorf, North Rhine-Westphalia.

  3. The financial year is the calendar year.

 

 

 

§ 2 Purpose

 

  1. The association pursues exclusively and directly charitable purposes within the meaning of the AO. Members receive no benefits from the association. There must be no people with issues that are the purpose of the Association or from disproportionately high remuneration.

  2. The purposes of the Association are as follows:a) The Buddhist, cultural and social interests of club members to be maintained and promoted.b) The general interest for encounters with and information about Buddhism is intended to support the activities of the association.

  3. The purposes referred to in paragraph 2 are to be achieved by the following measures:a) Regular holding of ceremonies Buddhist tradition;b) organization of events for the maintenance and transmission of Buddhist traditions and ways of life;c) Development and dissemination of information on the Buddhist tradition;d) provision of social support in special cases;e) support for the development of other facilities, which are also used for maintenance of Buddhist tradition.

  4. The religious meetings of the Association will be held in Sinhala language basically. If necessary and at other events, other languages ​​can be used.

  5. The Association is active. It does not pursue its own economic purposes. It shall be the general, common, and ideological interests associated its Buddhists. The funds may only be used for statutory purposes.

  6. On the means that are available to the club available, as well as on the association's assets, the members have no share. They may be used only for the statutory objectives and purposes.

 

 

 

§ 3 Membership

 

  1. Any person may become a member, the purpose and objectives of the Association ( § 2 para 1) support .

  2. Membership for the club is to apply in writing. The Board shall decide on the request. In the event that the Board disapproves the application, the applicant has the right to invite the next General Assembly (GA) to let them decide on the request.

  3. After approval of the Board, any person who supports the purpose of the association, purchase a lifetime membership.

  4. After approval of the Board, any person who supports the purpose of the association, honorary membership will be awarded.

  5. Membership is terminated bya) the withdrawal from the association ( § 3 para 6);b) the exclusion of the member ( § 3 para 7);c) the death of the member;d) the dissolution of the association.

  6. A discharge is always possible. The end of the current fiscal year, no need to wait to exit . The withdrawal must be in writing given three months before to the Board.

  7. Breach by a Member's obligations to the club and goes against the objectives and statutes of the association, the exclusion of a member is permitted. The member can express himself to the exclusion grounds, the Board decides on the exclusion. Within a month, the Member may object to and require the exclusion that the next GA, which then decides on the exclusion .

  8. Members  to pay a membership fee to the association each year (for details see § 7).

§ 4 Bodies of the Association

§ 5 General Assembly (GA)

 

  1. At least once a year shall be hold an ordinary GA. Furthermore, convene this, if the board decides this or if it is written by a quarter of the members, stating the reason, required.

  2. The GA shall be responsible for all matters of fundamental importance, as well as for the achievement of the purposes of the association. Specific responsibilities of the GA are in the following areas:1. Receipt of the annual report2. Approval of Financial Statements3. Discharge of the Board4. Election of Board members5. Establishing the budget6. Definition of membership fees7. Appointment of auditor8. Amendment of the Statutes9. the decision in the cases of § 3 para 2 sentence 3 and Section 7, Clause 310. Dissolution of the Association

  3. The convening of the GA by the Chairman, or in his absence by his deputy or the Secretary. The case of prevention need not to be proven. The convening of GAs has to be made subject to a period of two weeks in writing to the agendas. Requests for additions to the agenda must be submitted at least one week before the meeting. About the GAs transcripts shall be prepared and signed by the chairman and the secretary.

  4. The management of the GA is taken over by the Chairman, in his absence by his deputy.

  5. The GA has a quorum if at least one third of the members are represented. In quorum the members present may decide the same agenda and establish with a simple majority of the meeting.

  6. Each member has one vote. If a member has not the possibility to appear to the GA, it may be represented by another member. In this case, the power of attorney is to be demonstrated to the chairman of the meeting in writing.

  7. Unless the law provides otherwise, decisions are made by the GA with a simple majority of members present. However, decisions on amendments to the statutes and the dissolution of the Association require a majority of at least three quarters of the members of the association. If the question of a change in the association's purpose is present, it must be agreed to by all club members.

 

 

 

§ 6 Board

 

  1. For all matters of the Association that are not assigned by the statutes or compelling legal reasons for the GA, the board is responsible.

  2. The Board consists of1. the Chairman2. the deputy chairman3. the Secretary4. the Deputy Secretary5. the treasurer and6. up to eight other members.

  3. The GA selects the board members from among the members. Furthermore, it determines the respective officials of the elected board members according to § 6 paragraph 2 of the Statute.

  4. Board within the meaning of § 26 BGB, are the chairman, the deputy chairman and the secretary. The Chairman represents the association alone. In his absence, the association is  jointly represented by the deputy chairman and the secretary. The case of prevention need not be proven.

  5. The term of office for Board members is one year. Re-election of a board member is possible, they will remain in office until the next election.

  6. In the event of premature departure of a board member, another board member takes over its function until the next GA has chosen a successor.

  7. The Board may adopt its rules of procedure and set a club order, which has to be approved by the GA.

  8. The Board has a quorum when more than half of the Board members are present. Resolutions are passed by simple majority.

  9. The Board may, if it appears to him necessary, establish an advisory body. This is to advise the task of the Executive Board in carrying out its duties and its decisions.

  10. The Board may establish a committee and those entrusted with the task of maintaining the temple in good condition and to look after the needs of the monk living there.

 

 

 

§ 7 Member Contributions

 

  1. The association is financed by amounts of members and donations.

  2. The nature and amount of contributions are to be matched by the GA. However, the agreement of the GA must be approved by the Board. The details are laid a contribution order.

  3. Preferably, the contributions should be paid monthly, but it will be left to the member itself, when it pays its contributions, as long as the total amount of contributions is paid at the end of the financial year.

 

 

 

§ 8 Resolution

 

  1. The GA, which decides on the dissolution of the association, also appoints a liquidator. In the absence of such a decision, it is made by the Board of the liquidation.

  2. Upon the dissolution or annulment of the body or loss of tax- privileged purposes, the assets of the corporation falls to the SOS Children's Villages - preferably in the field of SOS Children's and Youth Aids Düsseldorf, that has to use it directly and exclusively for charitable purposes.
